Are you an experienced legal professional passionate about navigating complex corporate environments? COMILOG Gabon is seeking a Head of Legal Department to provide strategic legal counsel, oversee corporate governance, manage contractual activities, and mitigate legal risks in all aspects of the company’s operations.

You will be at the forefront of ensuring regulatory compliance, developing legal frameworks to support growth initiatives, and managing relationships with institutional and governmental stakeholders. This role also includes overseeing the legal administration of subsidiaries in Gabon and abroad, ensuring seamless communication with external legal entities, and safeguarding the company’s legal interests in a multifaceted shareholder environment.

Responsibilities:

  • Advise Executive Management and Key Departments: Provide proactive or requested legal counsel to the General Management, CFO, and other company entities on all matters touching legal aspects.
  • Ensure Regulatory Compliance: Maintain a regulatory monitoring dashboard, assess impacts on the company, and propose corrective measures to ensure adherence to legal norms.
  • Protect Mining and Land Assets: Oversee the validity of mining titles, manage surveillance, and safeguard mining and land assets.
  • Manage Legal Documentation: Implement coherent policies for conserving and archiving legal documents in line with legal and company standards.
  • Oversee Litigation: Develop defense strategies, represent the company in disputes, and maintain a litigation management dashboard tracking risks and outcomes.
  • Administer Contracts and Leases: Draft, evaluate, and maintain reliable records of legal contracts and oversee lease management, ensuring compliance.
  • Supervise Insurance Management: Prepare and monitor the insurance budget, manage claims, and ensure optimal coverage.
  • Corporate Secretarial Functions: Coordinate board and shareholder meetings, follow up on resolutions, and ensure legal formalities compliance.
  • Ethics and Compliance: Collaborate with the Ethics and Compliance Officer as needed.

Your profile:

  • Master’s degree (BAC+5) in Business Law with expertise in OHADA Law.
  • Minimum of 15 years as a corporate legal counsel or Legal Director in a comparable organization.

Proven expertise in:

    • Legal, fiscal, customs, and social frameworks specific to commercial and mining activities.
    • Risk management mechanisms in the mining industry and insurance program implementation.
    • Contract law, business law, labor law, civil and criminal procedural law, mining and land regulations, and internal auditing techniques.
  • Strong negotiation skills with an analytical and strategic mindset.
  • Open-mindedness, emotional stability, leadership, and a passion for mentoring and team development.
  • Proficiency in French and English is required.
